Justin is a mergers, acquisitions, and corporate advisory law specialist, who advises investment funds (PE, VC, public, and institutional) as well as corporate investors and high-net-worth individuals, across a diverse range of industry sectors in connection with their investment and business activities in Vietnam.

During his 16 years of practising law in Vietnam, Justin has also developed high levels of experience and expertise in other key areas of law, including capital markets, real estate, construction, technology, media, telecommunications, intellectual property, and employment law.

Justin’s clients (in his core practice area of corporate and M&A, in addition to his various ancillary practice areas) include public and private investment funds from all over the world, in addition to global and regional industry leaders across a diverse range of industry sectors, including FMCG, wholesale and retail distribution, fintech, e-commerce, property development, manufacturing, telecommunications, and hospitality and gaming.

  • Acting for a major UK-listed infrastructure investment fund on its divestment of various portfolio assets, including a group of companies owning and operating more than 2,000 mobile telephony base station towers in Vietnam.
  • Acting for one of Vietnam’s largest and most well-established private equity fund managers on its structuring, establishment, and roll-out of a leading digital banking platform in Vietnam.
  • Acting for one of Japan’s largest listed pharmaceutical companies in its acquisition of a strategic minority stake of approximately 25% in Vietnam’s largest listed pharmaceutical companies.
  • Acting for one of the Asia-Pacific region’s leading fintech disruptor companies on its entry into the Vietnam consumer market, including its acquisition of the business and assets of an established fintech operator.
  • Acting for the BVI court-appointed joint receivers of the share capital of a BVI-domiciled holding company (in turn owning subsidiaries in Vietnam being the owners and developers of a number of large-scale property development projects), in relation to their divestment of that holding company (inclusive of its Vietnam subsidiaries and property development projects).
  • Acting for the owner and developer of a US$4 billion casino, hotel, leisure, and residential development project located in Quang Nam province, Vietnam, in relation to various aspects of that project, including its negotiation of and entry into its key casino management, hotel management, and hotel license agreements.
  • Acting for a number of major multi-national corporates on their participation as strategic foreign investors in a number of high-profile equations of Vietnamese State-owned enterprises.
  • Acting on an ongoing basis as Vietnam counsel for one of the world’s largest multi-national FMCG companies on all aspects of its legal affairs in Vietnam, including entry into joint ventures with Vietnamese State-owned enterprises, preparation and negotiation of many types of commercial agreements, and the provision of on-going legal and strategic advice in relation to all aspects of its business activities in Vietnam.
