Nguyen Thi Thanh Tra is a Senior Associate based in Frasers’ Hanoi Office. She has more than 10 years of experience practising corporate and commercial law, with a focus on inbound investment, mergers and acquisitions, competition, international trade, corporate, and labour & employment. Prior to joining Frasers, Tra worked for a leading international law firm in Hanoi.

Tra has assisted clients in various industry sectors in relation to their investment in Vietnam, specifically in manufacturing; retail and distribution; technology, media, and telecoms; and renewable energy. 

Tra earned an LL.M. with Distinction in International Legal Studies from the University of Vienna in 2015. She graduated with the Highest Distinction from the Diplomatic Academy of Vietnam, earning her Bachelor's Degree in International Law in 2010.

Tra is a member of the Hanoi Bar Association and is fluent in both English and Vietnamese.

  • Advising a Korean investment fund on the acquisition of a Vietnamese company in the sector of intermediary payment services. 
  • Advising a Japanese investor on the acquisition of a Vietnamese company in the sector of fashion products manufacturing and retailing company which owns and operates approximately 100 stores in Vietnam nationwide.
  • Advising an international furniture designer and sourcing company in the acquisition of the entire equity interest in a local foreign-invested entity which involves various steps of financing/loan restructuring.
  • Acting as local lenders’ counsel in the US$2.75 billion financing of Nghi Son 2 1200MW coal-fired power generation project. The deal, which involved two ECAs and was undertaken to an international limited recourse finance standard, was recently awarded the South East Asia Project Finance Deal of the Year at the Asian Legal Business Awards in Singapore. Frasers assisted the lenders through every step of the project, from due diligence to negotiation of the PPA, BOT Contract, GGU, LLA, and other key project documents, to financial close.
  • Acting for a leading game company on various aspects of its operations and activities in Vietnam.
  • Advising on the establishment of Vietnam subsidiaries of a number of US IT companies.
  • Advising a Singaporean healthcare group on its proposed acquisition of majority equity interests in a foreign-invested entity which operates a number of polyclinics in Vietnam.
  • Advising a leading Japanese bank on the legality and implementation of various banking products and services in the Vietnam market, including, among others, bank guarantee, cross-border factoring, indemnity, and other foreign exchange control issues.
  • Assisting in the advice on the acquisition of two solar power projects with a total capacity of 350MW located in Binh Phuoc Province by a Chinese solar energy developer.
  • Assisting in the advice on the acquisition of a 200MW solar power project located in Binh Phuoc Province by an Italian multinational renewable energy corporation.
  • Assisting the team in advising a French multinational corporation on the acquisition of the entire equity interest in a local joint venture, the establishment of a greenfield project in northern Vietnam, and its day-to-day operations.
  • Advising clients on labour and employment matters, including but not limited to the preparation of labour contracts and internal labour regulations, the recruitment of and immigration for foreign employees, termination of labour contracts, restructuring and retrenchment of employees, and the planning and implementation of offshore ESOP plans.
