Capital Markets

Frasers’ Capital Markets team has a broad range of industry experience. We are well-placed to work with clients across all sectors, including banking and finance, energy and natural resources, FMCG, healthcare and pharmaceuticals, projects and infrastructure, real estate and construction, retail, and telecommunications.

Our team regularly provides advice to global investment banking and securities firms, government institutions, finance leasing companies, credit institutions, and foreign and local banks. Clients are thus able to navigate their way through relevant procedures and regulations while protecting their interests in Vietnam’s emerging and evolving business environment.

A sampling of our highlight matters in this area includes:

  • Acting as the local Vietnam counsel for a US$401 million infrastructure fund’s listing on the Alternative Investment Market (AIM) of the London Stock Exchange.
  • Acting on one of the biggest acquisition deals in Vietnam, involving the potential acquisition by our client of an ownership interest in a listed State-owned beer company in Vietnam.
  • Acting for a leading dynamic products company based in Australia and New Zealand, on the financing of AUD$3+ million to a Korea-domiciled company, with a guarantee granted by a Vietnamese company.
  • Acting for a Japanese trading house in relation to a complex and challenging swap transaction entered into in connection with a Vietnamese listed company, relating to a joint venture investment. Our client has its securities listed for trading on the Japanese stock exchange, whereas the Vietnamese counterpart has its securities listed for trading on the Ho Chi Minh City stock exchange.
  • Acting for the lenders on the EUR900 million financing to a leading animal feeds company for the purposes of developing a strategic business relationship with a listed Vietnamese company having a strong reputation in animal husbandry, by way of financially and operationally taking over the business (i.e., the production of livestock, poultry, and aquatic feed).
  • Acting as borrower's counsel in relation to our client's entry into this revolving credit facility with Standard Chartered Bank as the lender.
  • Acting for a global retail company in relation to its two tranches of equity investment into its franchisee in Vietnam, in the form of share subscription transactions for strategic minority stakes.
  • Acting for an American hedge fund firm that provides investment management services advice in relation to trading in Vietnamese equity and derivative securities, specifically information on the local regime surrounding long and short position reporting, for the purposes of their expansion into trading in Vietnam.
  • Acting for a leading consulting company in relation to its subscription for a significant volume of treasury and newly-issued shares in a large commercial bank in Vietnam.
