We provide clients with the latest in commercially viable legal advice and support them with innovative solutions to provide clarity in these complex industries in Vietnam. We have advised numerous clients on oil and gas, power generation, as well as mining projects, and clean development mechanism (CDM) transactions within Vietnam, and throughout the Asia Pacific region. Frasers continue to play a leading role in the development of these industry sectors in Vietnam, acting for large-scale clients on deals that are often identified as ‘firsts’ for Vietnam.

A sampling of our highlight matters in this area includes:

  • Acting as local lenders’ counsel in the US$2.75 billion financing of Nghi Son 2 1200MW coal-fired power generation project. The deal, which involved two ECAs (JBIC and KEXIM) was undertaken to an international limited recourse finance standard and was awarded the South East Asia Project Finance Deal of the Year at the Asian Legal Business Awards in Singapore.
  • Acting for one of Vietnam's leading developers and operators of rooftop solar systems in carrying out an acquisition of a rooftop solar power portfolio which includes a legal due diligence review of 30 target companies and rooftop solar power projects, preparation of transaction documents and closing documents. 
  • Advising a leading natural resources and low-carbon energy company with respect to the acquisition of an interest in a 3,400MW offshore wind power project in Vietnam.
  • Advising in relation to a proposed 100% divestment in each of two Singapore Holding Companies, which currently hold interests in two wind and hydropower companies in Vietnam.
  • Acting for the lender to finance a 600MW wind power project in Laos to sell energy to Vietnam Electricity on a cross-border basis. 
  • Acting for a leading investment fund on its sale of a 55% equity stake in one of Vietnam's leading developers and operators of rooftop solar systems.
  • Acting as buyer’s Vietnam counsel in this transaction, in which our client purchased 100% of the share capital of two renewable energy developers (which own and operate various hydro, solar, and wind power projects in Vietnam, Australia. Indonesia, and the Philippines).
  • Acting for the lenders and the hedging bank on the US$600 million financing to Long Son Petrochemicals Company Limited. This was one of the largest project financing undertaken to an international standard in Vietnam.
  • Advising an export credit agency in relation to a 2×660 MW thermal power plant Project to be executed on a BOT basis in Tra Vinh Province, Vietnam.
  • Acting as Vietnam counsel to the lenders in relation to a proposed secured loan facility to be provided to an international oil and gas exploration and production company.
