Dinh Thi Hien Ly is a Senior Associate at Frasers Law Company’s Ho Chi Minh City office. She has over 20 years of experience practicing corporate and commercial law, with particular emphasis on Real Estate and Corporate M&A. She has extensive knowledge about the Vietnamese real property legislative system and legislators’ mindset, as well as the relevant business environment. She has engaged in a wide range of matters from real property acquisition, licensing, development, and operation to financing and re-structuring; residential, office, industrial, commercial, or mixed-use.

Prior to joining Frasers, Ly held managerial positions in the local authority and an urban development management board of Ho Chi Minh City, Vietnam. She has also worked for the Ho Chi Minh City office of a US-based global law firm, two major real estate development and financing corporations, and one of the big four Japanese law firms.

Ly is a Vietnamese-qualified lawyer. Besides her Vietnamese native language, Ly is fluent in English and is capable of basic Chinese communication. She holds a Vietnamese Bachelor of Laws degree and two foreign (dual) master’s degrees: a Masters in business administration – specialising in International Project Management – from the Asian Institute of Technology (Thailand), and a Master of Science – specialising in International Management – from the French ‘Grande École’ Institut National des Télécommunications.

 

 

A sampling of some recent matters that Ly has advised on include:

  • Advising a foreign-invested company on regulatory matters, recommended courses of action regarding a potential dispute with its landlord, relevant state agencies, and risks of land revocation over a significant parcel of land (estimated minimum value US$4 million) in an industrial zone.
  • Advising a foreign-invested company in structuring and documentation for its land acquisition, which has to be performed via multi-steps and complicated procedures.
  • Advising a foreign client in structuring and on various regulatory matters, as well as preparing transaction documents, in relation to its disposal of a resort project in Vietnam whose total investment capital is expected to be over US$100 million.
  • Advising on various compliance matters in relation to the construction of an over US$1.5 billion project.
  • Preparing templates for consultancy contracts, construction contracts, and procurement contracts, in light of Vietnam construction law and to be used for Vietnam’s projects, for a foreign client who manages a group of resource-based manufacturing companies with global operations, based on the client’s global standards and templates.
