Mai has more than 16 years of experience practising corporate and commercial law, including experience working in a leading legal consultancy services provider in Vietnam, as an associate with a large global law firm working in its Hanoi office, and two years working with a ‘Magic Circle’ firm, in its Hanoi office.

Mai’s key areas of practice include corporate and M&A transactions across a wide range of industry sectors, including banking and finance; education; hospitality and tourism; manufacturing; real estate; retail; and technology, media, and telecoms.

Mai has assisted numerous investors in relation to their investments in Vietnam, including advising on the structuring of proposed business operations in Vietnam. She has also provided numerous clients with regulatory advice and assistance with respect to general corporate matters in relation to their day-to-day operations, including employment and commercial matters.

A sampling of recent matters that Mai has advised on includes:

  • Acting as local lenders’ counsel in the US$2.75 billion financing of Nghi Son 2 1200MW coal-fired power generation project. The deal, which involved two ECAs and was undertaken to an international limited recourse finance standard, was recently awarded the South East Asia Project Finance Deal of the Year at the Asian Legal Business Awards in Singapore. Frasers assisted the lenders through every step of the project, from due diligence to negotiation of the PPA, BOT Contract, GGU, LLA, and other key project documents, to financial close.
  • Acting for a Singapore-based private equity fund on its investment (as a leading investor of a US$40 million fundraising round) in a top e-commerce business in Vietnam.
  • Acting for a Japanese lender (as the lead arranger) on its project finance (US$1,199 million) to a BOT coal-fired power generation project in Khanh Hoa province.
  • Acting for a Switzerland-based group specialised in building materials on its divestment in a joint venture with a State-owned enterprise in Vietnam to a Thai investor (US$890 million).
  • Acting for multi-national companies on their acquisitions of equity interests in various renewable energy projects in Vietnam.
  • Acting for multi-national companies in the TMT sector on their business operations in Vietnam.
