Duong Thi Mai Huong joined Frasers in 2020 and is an Of Counsel of the firm based in the Ho Chi Minh City office. Huong practices in the area of corporate law, with experience in mergers and acquisitions, securities and capital markets, finance and banking, real estate and construction, and international trade law.

Huong’s extensive legal expertise spans the areas of startup/venture capital, mergers and acquisitions, corporate investment and restructuring, real estate, and renewable energy. She has assisted clients in a diverse range of industry sectors and on a wide range of legal matters, from providing legal advice, legal analysis, and legal due diligence reviews, to foreseeing legal changes that affect a company’s structure and business, to reviewing contracts, agreements, and documentation.

She has been involved in numerous banking and finance transactions and has undertaken multiple legal due diligence reviews. She has also advised clients on various renewable energy projects.

Prior to joining Frasers, Huong worked at a leading international law firm in Ho Chi Minh City and was the Director of Legal at a major real estate development corporation in Vietnam.

Huong earned an LL.M. in International Business Law from Newcastle University in 2014. She earned a Bachelor of Laws in Business Law from the University of Economics and Law in Ho Chi Minh City.

Huong is a member of the Ho Chi Minh City Bar Association. She is fluent in Vietnamese and English.

  • Advising an Australian investor in relation to different corporate structures of enterprises in Vietnam to propose an appropriate option to convert shareholder loans into equity.
  • Advising the Vietnamese subsidiaries of one of the world's largest refrigerated warehousing companies in relation to different corporate matters during their business operations in Vietnam, including compliance with the laws of Vietnam relating to the appointment of legal representatives, the change of corporate management structure, the update of relevant investment certificates and enterprises registration certificates, etc.
  • Advising an international supply chain solutions provider in relation to the appointment of the legal representative in the context of the charter and the laws of Vietnam.
  • Advising the Vietnamese subsidiary of one of the largest keiretsu in Japan in various matters, including the review of commercial contracts with its clients and vendors, the review of potential structures to cooperate with its business partners to develop new projects in different industries, such as energy, inland port, etc.  
  • Acting as Vietnam counsel to provide comprehensive Vietnam law advice and assistance in connection with a secondary offering, including assisting in the preparation of the offer documents, conducting due diligence in relation to all Vietnam-domiciled investee entities, assets, and matters, for disclosure purposes, and providing a Vietnam law legal opinion in relation to a suite of key Vietnam law governed documents.

Data Protection & Privacy

  • Advising one of the largest hotel chains in the world which operates, franchises, and licenses lodging including hotel, residential, and timeshare properties in relation to personal data protection from a Vietnam law perspective to enhance the internal policies, including privacy policies.
  • Advising one of the leading education technology innovators, creating engaging and effective learning resources for children in relation to its expansion of education business in Vietnam via an online platform, in relation to processing personal data when operating the website in Vietnam.
  • Advising a leading digital technology and solution company in China in relation to its plan to deploy a data centre in South East Asia to serve its South East Asian businesses, including issues relating to e-commerce transaction data, and consumer personal data relating to such transactions, and the transfer of data outside of Vietnam.
  • Advising one of the world's leading providers of accounts payable recovery audit services and technologies in relation to its business activities of providing services remotely from Malaysia for its clients in Vietnam by using technology-enabled source-to-pay solutions to businesses, including issues relating to data protection.
  • Advising one of the world's largest publicly traded property & casualty insurance companies in legal matters relating to data collection issues for the purpose of underwriting insurance policies.
  • Advising an American media, events, and research company with respect to acquisition traction, including the review of the business activities of the Vietnamese subsidiary of the target company relating to the collection of personal data from a Vietnam law compliance perspective.  
  • Advising a global multinational risk management, insurance brokerage, and advisory company and its subsidiary on the transfer of equity interests in a Vietnamese subsidiary to a potential investor which is a leading provider of corporate healthcare solutions via an online platform in Asia Pacific, including the advice relating to data protection. 
  • Advising a South Korean company that develops and distributes video games in relation to the development and operations of NFT platforms, and the issues relating to data protection.

Insurance

  • Acting as Vietnam counsel in relation to the acquisition and merger of Vietnamese subsidiaries of two global leaders in insurance broking and risk management which was part of a US$5.6 billion global merger, specifically on all of the Vietnam law and procedure aspects of this major and very high-value international transaction, including the restructuring of the shareholder loan.
  • Advising an international insurtech business and its affiliate, one of the leading insurance companies, in relation to the acquisition transaction to acquire 80.6% of the charter capital of a Vietnamese non-life insurance company with a value of approximately US$14.3 million, including legal due diligence on the target company, reviewing definitive agreements, and providing regulatory advice.
  • Advising a global multinational risk management, insurance brokerage, and advisory company and its subsidiary on the transfer of equity interests in the Vietnamese subsidiary to a potential investor which is a leading provider of corporate healthcare solutions via online platform in Asia Pacific.
  • Assisting one of the world's largest publicly traded property and casualty insurance companies and its Vietnamese subsidiary to review documents relating to the issuance of an insurance product to the driver partners of one of the companies operating a super app in South East Asia via a mobile platform.
