Hoang Hoa is an Of Counsel at Frasers Law Company, based in the firm’s Ho Chi Minh City office. Hoa is a Vietnamese-qualified lawyer with nearly two decades of experience advising foreign investors, multinational companies, and regional institutions on a broad range of transactional and advisory matters in Vietnam. Her practice focuses on mergers and acquisitions, corporate structuring, real estate development, and strategic investments.

Hoa has advised clients on numerous complex M&A transactions across sectors, including real estate, education, energy, and retail, often involving cross-border structuring, regulatory approvals, and post-closing support. Her work covers the full transaction lifecycle from pre-deal legal structuring and comprehensive due diligence, through to contract drafting, negotiation, completion, and post-closing implementation.

She has substantial experience in advising on land acquisition and real estate development transactions, including site acquisition, regulatory issues, and land-use rights for projects such as industrial developments, hospitality assets, and international schools. Hoa has also acted on several landmark transactions involving LNG-to-power project development, as well as strategic divestments and joint ventures in Vietnam. Hoa is recognised by The Legal 500 Asia Pacific as a Leading Lawyer in 2025, and by IFLR1000 as a Rising Star for M&A in 2024.

Prior to joining Frasers, Hoa held senior roles at leading international and Vietnamese law firms, where she advised on high-value investments and commercial operations across various sectors. Hoa is a member of the Hanoi Bar Association

  • Advising foreign investors on a US$250 million investment by way of convertible bonds and non-convertible warrant-linked bonds issued by a leading Vietnamese property developer.
  • Acting for a Japanese-headquartered multinational on the acquisition of a strategic land site in Nam Dinh Province for development of a textile manufacturing facility, including related environmental compliance issues.
  • Advising a US-based private equity fund on the restructuring and investment in a Singapore–Vietnam hospitality platform, including a luxury hotel project in Hanoi and additional assets in southern Vietnam.
  • Acting for a private equity investor on its investment in, and subsequent divestment from, a retail property platform in Vietnam, including the acquisition, financing, and development of mixed-use property projects.
  • Advising a US private equity fund on multiple high-value acquisitions in the real estate, casino, and hospitality sectors in Vietnam.
    Representing a global investment bank in the proposed structured acquisition of a significant commercial and retail property in central Ho Chi Minh City.
  • Advising a foreign government on the acquisition and lease of land for a new embassy compound in Hanoi, including negotiations with local authorities, securing a 99-year land title, and advice on development-related issues.
  • Advising a UK-headquartered education group on land acquisition and regulatory matters for a branded international school project in Ho Chi Minh City and the acquisition of an existing international school in Hanoi.
  • Advising the developers of two LNG-to-power projects in Vietnam on land use and regulatory issues relevant to project development.
  • Advising a major foreign bank on its strategic US$1.5 billion investment in a leading Vietnamese commercial bank.
  • Advising a global financial services group on various Vietnam-related transactions, including its acquisition of a 49% stake in one of Vietnam’s largest consumer finance companies, valued at over US$1.4 billion.
