• Advising a major international power corporation on its proposed acquisition of an equity interest in a Vietnamese power company operating a BOT thermal power plant with an installed capacity of over 1,000 MW in Khanh Hoa Province, including conducting legal due diligence, advising on BOT-related project issues, government guarantees and energy transition matters, and assisting with completion and post-completion matters.
• Advising a leading Japanese beverage company on its acquisition of a group of leading Vietnamese beer and beverage manufacturing companies from a major Danish brewing group, including conducting legal due diligence, advising on the satisfaction of conditions precedent, and developing a restructuring plan to facilitate completion of the transaction.
• Advising a major Singaporean conglomerate with diversified business interests on its proposed acquisition of a Vietnamese company operating a data centre business, including advising on transaction documentation, merger control filing requirements, and post-completion matters.
• Advising a US-based private equity fund on merger control requirements in connection with its proposed acquisition of a multinational group operating in the hospitality and professional services sectors, with a significant business presence in Vietnam, including preparing and submitting the merger control notification dossier and liaising with the Vietnam Competition Commission until merger control clearance was obtained.
• Advising a major Australian logistics group on its acquisition of a group of Vietnamese companies operating logistics, cold storage and transportation support businesses across multiple provinces in Vietnam, through a multi-step acquisition structure involving the exercise of call options, including conducting legal due diligence, drafting and finalising transaction documentation, advising on regulatory matters, and assisting with completion and post-completion matters.
• Advising a leading multinational beverage company on its proposed restructuring in Vietnam, including advising on and implementing employee redundancy programmes at its Vietnamese entity.
• Advising on the restructuring and separation arrangements involving senior management personnel of a publicly listed company, including advising on applicable disclosure and announcement requirements and employment termination procedures.
